Subject to your compliance with these Terms and payment of the applicable licence fee, LEARNEDGE LTD grants you a limited, non-exclusive, non-transferable, revocable licence to access and use our Software solely for your internal business or educational purposes during the licence period.
4.2 Licence Scope
Your licence is valid only for the number of users, seats, or instances specified in your purchase. You may not exceed the scope of your licence without purchasing an upgrade.
4.3 Restrictions
You must not:
4.4 Ownership
All intellectual property rights in the Software, including but not limited to source code, design, algorithms, content, and documentation, remain the exclusive property of LEARNEDGE LTD. These Terms do not transfer any ownership rights to you.
5. ACCOUNTS
5.1 Account Creation
To access the Software, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to keep it updated.
5.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at info@learnedge.uk if you suspect unauthorised access.
5.3 Account Suspension
We reserve the right to suspend or terminate your account if we reasonably believe you have breached these Terms, engaged in fraudulent activity, or pose a risk to the integrity of our platform.
6. PAYMENT & BILLING
6.1 Licence Fees
All licence fees are stated on our website or agreed in writing at the time of purchase. Fees are due in advance and are non-refundable except as set out in our Refund Policy.
6.2 Taxes
All prices are exclusive of VAT or any applicable taxes unless stated otherwise. You are responsible for any taxes applicable in your jurisdiction.
6.3 Failed Payments
If a payment fails, we reserve the right to suspend access to the Software until the outstanding amount is settled. We will attempt to notify you before suspension.
6.4 Price Changes
We may update our pricing at any time. For existing subscribers, price changes will take effect at the next renewal period, with at least 30 days’ notice provided.
7. SUBSCRIPTIONS & RENEWALS
Where your licence is provided on a subscription basis, it will automatically renew at the end of each billing cycle unless you cancel at least 7 days before the renewal date. You can cancel your subscription by contacting us at info@learnedge.uk or through your account settings where available.
8. ACCEPTABLE USE
You agree to use the Software only for lawful purposes and in a manner that does not infringe the rights of others. You must not:
9. CONTENT & DATA
9.1 Your Content
You retain ownership of any content, data, or materials you upload or create within the Software (“Your Content”). By uploading content, you grant LEARNEDGE LTD a limited licence to host, display, and process Your Content solely to provide the Software services to you.
9.2 Your Responsibility
You are solely responsible for Your Content. You warrant that it does not infringe any third-party rights, violate any law, or contain harmful or unlawful material.
9.3 Data Processing
Where you use our Software to collect or process personal data of your own users or learners, you act as the data controller and we act as a data processor on your behalf. A Data Processing Agreement (DPA) is available upon request and forms part of these Terms where applicable.
10. AVAILABILITY & SUPPORT
10.1 Uptime
We aim to provide reliable and consistent access to the Software but do not guarantee uninterrupted availability. Scheduled maintenance will be communicated in advance where possible.
10.2 Support
Technical support is available via email at info@learnedge.uk during normal UK business hours (Monday to Friday, 9am–5pm GMT). Response times may vary based on the nature of your query and your licence plan.
10.3 Updates
We may release updates, patches, or new versions of the Software from time to time. Where possible, updates will be applied automatically. We reserve the right to modify or discontinue features with reasonable notice.
11. CONFIDENTIALITY
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with these Terms. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
12. DISCLAIMER OF WARRANTIES
The Software is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that the Software will be error-free, uninterrupted, or free from security vulnerabilities. Your use of the Software is at your own risk.
13. LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law, LEARNEDGE LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Software.
Our total aggregate liability to you for any claim arising under these Terms shall not exceed the total fees paid by you to LEARNEDGE LTD in the 12 months preceding the claim.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under UK law.
14. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless LEARNEDGE LTD and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Software, Your Content, or your breach of these Terms.
15. TERMINATION
15.1 By You
You may terminate your licence at any time by cancelling your subscription and ceasing use of the Software. Termination does not entitle you to a refund except as set out in our Refund Policy.
15.2 By Us
We may suspend or terminate your access to the Software immediately and without notice if you breach these Terms, engage in fraudulent or abusive conduct, or if we are required to do so by law.
15.3 Effect of Termination
Upon termination, your licence to use the Software ceases immediately. You must delete any copies of the Software in your possession. Provisions that by their nature should survive termination — including intellectual property, confidentiality, limitation of liability, and governing law — will continue to apply.
16. GOVERNING LAW & DISPUTES
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
We encourage you to contact us at info@learnedge.uk in the first instance to resolve any dispute informally before pursuing legal action.
17. CHANGES TO THESE TERMS
We may update these Terms from time to time. We will notify you of material changes by email or a prominent notice within the Software. Continued use of the Software after the effective date of any changes constitutes your acceptance of the updated Terms.
